Welcome to Helion Network ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (helionnetwork.com), our custom AI development services, managed booking and messaging automation, and any related software or tools (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility & Service Description
Business Use Only: Our Services are designed strictly for Business-to-Business (B2B) use. By using Helion Network, you represent that you are acting on behalf of a legal business entity.
Scope of Service: We provide custom AI development, managed automated booking, and messaging solutions. We reserve the right to modify or discontinue any aspect of the Services at any time.
2. Payment & Billing
Fees: Access to Services may require a subscription fee or a one-time project fee as outlined in your specific service agreement.
Free Trials: We may offer limited free trials. Once the trial expires, continued access requires a paid plan.
No Refunds: Due to the high compute costs and custom nature of AI development, all sales are final. We do not offer refunds for subscriptions or one-time fees.
Suspension for Non-Payment: Failure to pay fees when due will result in the immediate suspension of your access to the Services, including API integrations and automated messaging.
3. Intellectual Property Rights
Helion IP: We retain all rights, titles, and interests in and to the Helion Network software, proprietary algorithms, custom-built "agents," underlying code, and any "prompt engineering" methodologies developed by us.
AI Models: All AI models and technical configurations used to deliver the Services remain the exclusive intellectual property of Helion Network or our third-party licensors (e.g., OpenAI, Google).
Client Content: You retain ownership of all data, text, and branding materials you provide to us ("Client Content"). You grant us a limited license to use this content solely to provide and improve the Services for your business.
Output: Unless otherwise agreed in writing, the specific output generated by the AI for your business use is owned by you, subject to our underlying ownership of the technology used to create it.
4. AI Accuracy & "As Is" Disclaimer
"As Is" Basis: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the accuracy or reliability of AI-generated content.
AI Hallucinations: You acknowledge that AI can produce inaccurate, biased, or "hallucinated" information. Helion Network is not liable for any errors, omissions, or damages resulting from the use of AI-generated outputs in your business operations.
5. User Responsibilities & Termination
Lawful Use: You agree to use the Services only for lawful purposes and in compliance with all applicable laws (including TCPA for messaging and GDPR/CCPA for data).
Termination: * By You: You may cancel your subscription or service agreement at any time through your account settings or via email.
By Us: We reserve the right to terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.
6. Limitation of Liability & Indemnification
Limitation: To the maximum extent permitted by law, Helion Network shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of your use of the Services.
Indemnification: You agree to indemnify and hold harmless Helion Network from any claims arising from your use of the Services or your violation of these Terms.
7. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles.
Mandatory Arbitration: Any disputes arising out of these Terms shall be resolved through binding arbitration in Mount Pleasant, South Carolina. You waive your right to a jury trial or to participate in a class-action lawsuit.
